BUSINESS SELLER'S KIT & APPRAISAL

Besides our business appraisals, we have developed this optional business seller’s kit. This kit contains the information and tools you’ll need to sell your business at the best price with the minimum about of wasted time or effort.

The kit contains:

  1. A draft CONFIDENTIALITY AND NON-CIRCUMVENTION AGREEMENT in MS Word which can be edited to suit by the seller or his broker.
  2. A draft CONFIDENTIAL OFFERING MEMORANDUM. It incorporates basic information contained in the appraisal that would be desired by a prospective buyer into a draft Confidential Offering Memorandum (typically 8-25 pages depending on complexity of the business). It is prepared in Microsoft Word 2002 format so that it can be edited by the seller or his broker. It includes both narrative descriptive information and comparative financial statements, analyses, photographs and scans of collaterals as appropriate. It is designed to be edited by the seller, or broker, to set whatever offering price and terms desired, and any other editorial changes desired. It is designed to be sent by the seller or broker to prospective buyers (who have executed a confidentiality agreement, via e-mail.
  3. A SAMPLE PURCHASE AND SALE AGREEMENT (Microsoft Word) which can be edited by the seller or his broker, or his/her attorney.

These are valuable tools for you when you sell your business, whether or not you intend to engage a broker.

If you intend to handle the sale yourself, it will save you considerable time in conveying objective and credible information to potential buyers.

If you plan to engage a broker, it is likely that you can negotiate a reduction in commission in return for providing an appraisal and offering memorandum — which will make the business far more marketable to a broker.
